1. Who we are and about these terms
These terms and conditions (the "Terms") are a legal agreement between you and TradeIQ Ltd ("TradeIQ", "we", "us" or "our"), a company registered in Scotland under company number SC831617, whose registered office is at Clyde Offices, 2nd Floor, 48 West George Street, Glasgow, Glasgow City, Scotland, G2 1BP.
These Terms govern your access to and use of Helious — our real-time markets terminal for US rates and equities — including the application at helious.io, the marketing site at helious.news, our live audio "squawk" feed, and all related data, content and features (together, the "Service").
In these Terms: "Content" means all data, prices, yields, headlines, news, commentary, the market "narrative", sentiment signals and scores, audio squawk, alerts, "calls", observations, text and other materials made available through the Service; a "Paid Plan" means our Pro subscription tier; and a "consumer" means an individual using the Service wholly or mainly outside their trade, business, craft or profession.
Please read these Terms carefully. They contain important limitations on our responsibilities to you, a prominent notice that the Service is not financial advice, and an exclusion and limitation of our liability. Sections 5, 6, 13 and 14 in particular affect your legal rights and you should read them closely.
2. Acceptance of these terms
By creating an account, ticking the acceptance box, subscribing to a Paid Plan, or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, you must not access or use the Service.
If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that entity, and "you" refers to that entity.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract in order to use the Service.
By using the Service you warrant that you meet these requirements, that the information you provide to us is accurate, and that your access to and use of the Service does not breach any law, regulation or sanction that applies to you or in your country of residence.
The Service is not directed at, and must not be used by, anyone under 18.
4. What Helious is
Helious is a real-time markets terminal focused on US rates and equities. Depending on your plan, the Service may provide:
- live and delayed market data, prices and yields;
- an economic calendar;
- an aggregated news feed;
- market commentary and a market "narrative";
- a dual-asset sentiment signal and score;
- a live audio "squawk box"; and
- occasional market "calls" and observations.
The Service, and the mix of features available, may differ between the Free tier and the Pro tier, and may change over time. All Content is general in nature and is produced for a broad audience. It is not, and is never, tailored to you or to any individual person or portfolio.
Everything the Service provides is for general information and education only. Please read Section 5 carefully before relying on anything in the Service.
5. IMPORTANT — No financial advice
Please read this section carefully. It is the most important part of these Terms.
Information and education only. All Content made available through Helious — including live and delayed market data, prices, yields, the economic calendar, the news feed, the market narrative, commentary and analysis, the sentiment signal and score, the live audio squawk, and any "calls", observations, trade ideas, alerts or opinions — is provided for general informational and educational purposes only. It is general in nature and does not take into account your objectives, financial situation, knowledge, experience or needs.
Not advice, not a recommendation, not a solicitation. Nothing in the Service constitutes, and nothing in the Service may be relied upon as: investment, financial, trading, tax, accounting or legal advice; a personal recommendation; an inducement; an offer or solicitation to buy, sell, hold or subscribe for any security or financial instrument; or an endorsement of any security, strategy, transaction or third party. No Content is presented as suitable or appropriate for you or for any particular person. TradeIQ does not assess the suitability or appropriateness of any investment or transaction for you.
No advisory or fiduciary relationship. We are not acting as your adviser, broker or fiduciary, and no advisory, fiduciary or agency relationship arises between you and us through your use of the Service. We do not owe you any duty of care in respect of any trading or investment decision you make.
Regulatory status. TradeIQ Ltd is not authorised or regulated by the Financial Conduct Authority. We do not provide regulated financial advice, arrange deals in investments, deal in investments, or manage investments. If you require advice on the merits or suitability of any investment or transaction, you must consult an appropriately authorised and regulated financial adviser.
Your decisions are your own. You are solely responsible for evaluating the merits and risks of any decision, and for any trade or investment you make. You agree that you do not, and will not, rely on the Service or any Content as the basis for any transaction, and that any use of the Content is entirely at your own risk. You should carry out your own independent research and obtain independent advice from a suitably qualified, authorised professional before acting. Any action you take on the basis of the Service is taken at your own discretion and risk, and the outcome is your responsibility alone.
Risk warning. Trading and investing in financial instruments involves a substantial risk of loss and is not suitable for everyone. Leveraged and derivative products (such as CFDs, futures, options and margined FX) can move rapidly against you, and you may lose some, all, or more than the amount you invested. Prices can be highly volatile, and you should not trade with money you cannot afford to lose. Past performance, simulated or hypothetical performance, and any examples, forecasts, targets, signals, scores or "calls" are not reliable indicators of future results.
No personal recommendation. No Content is tailored to, or should be construed as suitable for, you or any specific person. By using the Service you acknowledge that you have read and understood this notice and the risk warning above.
6. Market data and accuracy
Much of the Content — including quotes, prices, yields, the economic calendar, news headlines and the squawk feed — originates from third-party exchanges, data vendors and news providers. We do not independently verify this Content, and we do not guarantee it.
All Content is provided "as is" and "as available". Market data (including any "real-time" data or audio squawk) may be delayed, interrupted, incomplete, out of sequence, or inaccurate, and may differ from official exchange or venue prices. Any timing, latency or "freshness" indicators are provided on a best-efforts basis and are not warranted.
To the fullest extent permitted by law, we give no warranty as to the accuracy, completeness, reliability, currency, timeliness, sequence or fitness for any purpose of any Content, and we accept no responsibility for any act or omission of any third-party data, exchange or news provider. Third-party providers may impose their own terms on the data they supply, and do not warrant its accuracy, completeness or timeliness.
7. Your account
To access certain features you must create an account. You must provide accurate and complete registration details and keep them up to date. You may register using an email address and password, or through a supported third-party sign-in provider (such as Google or Microsoft).
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Accounts are for a single user and must not be shared. You must notify us without undue delay at the contact address in Section 19 if you become aware of any unauthorised use of your account or any other security breach.
We may refuse, suspend or cancel a registration, or reclaim any username, where we reasonably believe these Terms have been breached or to protect the Service or other users.
8. Subscriptions, fees and payment
Plans. Helious is offered on a Free tier and a Pro tier. The Pro tier costs $39.99 per month (or such price as we notify from time to time), charged in advance. Prices are inclusive of applicable taxes where required; you are responsible for any other taxes, currency conversion charges or bank fees.
Billing and auto-renewal. Paid Plans are billed automatically at the start of each billing period using your chosen payment method, and renew automatically at the then-current price at the end of each period until you cancel. Payments are handled by our third-party payment processor, StringIQ (stringiq.net); we do not store your full card details.
Cancellation. You can cancel a Paid Plan at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain Pro access until then. We do not provide pro-rata refunds for partial periods except where required by law.
Cooling-off and refunds (consumers). If you are a consumer, you have a statutory 14-day cooling-off right for digital services. If you ask us to begin supplying the Service during the cooling-off period, you acknowledge that you may lose the right to cancel once supply has begun, or that you may be entitled only to a proportionate refund for any period already supplied. Where a refund is due, we will pay it using your original payment method within 14 days. Nothing in this section affects your non-excludable statutory rights.
Price changes. We may change our fees. We will give you reasonable advance notice of any change to the price of your Paid Plan, and the new price will apply from your next renewal. If you do not agree to the new price, you may cancel before it takes effect.
9. Acceptable use
You must use the Service only for lawful purposes and in accordance with these Terms. You must not, and must not permit or assist anyone else to:
- scrape, harvest, crawl, cache, mirror or use any automated means to extract or collect Content, data or the squawk feed;
- copy, redistribute, resell, sub-licence, publish, broadcast, transmit or otherwise make any Content, data or the feed available to any person who is not an authorised subscriber;
- reverse engineer, decompile, disassemble or attempt to derive the source code of any part of the Service, except to the extent this restriction cannot lawfully be excluded;
- interfere with, disrupt, overload, or circumvent any security, access control, rate limit or authentication measure;
- use the Service to develop a competing product or service, or to build any dataset, index or model from the Content;
- introduce any malware, or use the Service in any way that is unlawful, fraudulent, defamatory, infringing, or harmful to us, the Service or other users; or
- misrepresent your identity or use another person's account without authorisation.
We may investigate suspected breaches and may suspend or terminate access in accordance with Section 16.
10. Intellectual property
All intellectual property rights in the Service — including the software, design, branding, the market narrative, the sentiment signal and score methodology, data compilations, commentary and the squawk feed — belong to us or our licensors. All rights not expressly granted are reserved.
Subject to your compliance with these Terms and, where applicable, payment of the relevant fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sub-licensable and revocable licence to access and use the Service and Content for your own personal, non-commercial use for as long as your account or subscription remains active.
You must not remove, obscure or alter any proprietary notices, and you may not use our name, logos or trade marks without our prior written consent.
11. Third-party links and services
The Service relies on, links to, or embeds third-party sites and services, including exchanges and data vendors, news providers, sign-in providers and our payment processor. These third parties operate under their own terms and privacy policies.
We do not control and are not responsible for the content, accuracy, availability, security or practices of any third-party site or service, and any dealings you have with a third party are solely between you and that third party. The inclusion of any link or integration does not imply our endorsement.
12. Availability of the Service
The Service, including the real-time data and squawk feed, is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, timely, secure, error-free, or free from delay, and access may be affected by factors outside our control, including your device, connectivity, and upstream providers.
We may carry out maintenance, and we may modify, suspend, restrict or withdraw all or part of the Service (including any feature, data source or plan) at any time, with or without notice. We are not liable to you for doing so, subject to Section 14.
13. Disclaimer of warranties
To the fullest extent permitted by law, we exclude all warranties, conditions, representations and terms, whether express or implied by statute, common law or otherwise, including any implied warranties or terms as to accuracy, completeness, reliability, currency, timeliness, satisfactory quality, fitness for a particular purpose, and non-infringement.
We do not warrant that the Content is accurate, complete, current or reliable, that any signal, score, narrative or "call" will be correct or profitable, or that the Service will meet your requirements.
Nothing in these Terms affects your non-excludable statutory rights as a consumer, including your right to services carried out with reasonable care and skill.
14. Limitation of liability
Liabilities we do not exclude. Nothing in these Terms excludes or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) any breach of the terms implied by the Consumer Rights Act 2015 that cannot lawfully be excluded; or (iv) any other liability that cannot lawfully be excluded or limited under applicable law. The remaining provisions of this section apply only to the extent permitted by law and are subject to this paragraph.
No liability for trading and investment decisions. To the fullest extent permitted by law, we shall not be liable for any trading or investment decision you make, for any transaction you enter into, or for any trading, investment or financial loss you suffer, whether or not connected to any Content, data, signal, score, narrative, squawk, "call" or observation, and whether caused by error, delay, inaccuracy, interruption, omission or otherwise.
Excluded losses. To the fullest extent permitted by law, we shall not be liable for any loss of profit, loss of anticipated savings, loss of opportunity, loss of goodwill, loss or corruption of data, or for any indirect, special or consequential loss, in each case however arising (whether in contract, delict or tort including negligence, breach of statutory duty or otherwise), even if we were advised of the possibility of such loss.
Cap on liability. Subject to the first paragraph of this section, our total aggregate liability arising out of or in connection with the Service and these Terms in any 12-month period shall not exceed the greater of (a) the total fees you paid us for the Service in that period, or (b) £100.
Each provision of this section operates separately. If any part is held to be unenforceable, the remaining parts continue to apply.
15. Indemnity
If you use the Service otherwise than as a consumer, you agree to indemnify and hold us harmless against all claims, liabilities, losses, damages and reasonable costs and expenses (including legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Service, your unlawful use of any Content or data obtained through it, or your infringement of any third-party right.
16. Suspension and termination
We may suspend or terminate your access to all or part of the Service immediately, with or without notice, if you materially breach these Terms, fail to pay any fee when due, use the Service unlawfully, or act in a way that risks harm to us, the Service or other users, or where required to do so by law.
You may terminate by cancelling your subscription (where applicable) and ceasing to use the Service, and by closing your account.
On termination, your licence to use the Service ends and you must stop using it. Termination does not affect any accrued rights or liabilities, and any fees already due remain payable. The provisions that by their nature should survive — including Sections 5, 6, 9, 10, 13, 14, 15, 18 and 19 — continue in force.
17. Changes to the Service and to these terms
We may develop, change or discontinue features of the Service from time to time. We may also update these Terms — for example, to reflect changes in the law, in our Service, or in our business.
We will give you reasonable notice of material changes to these Terms (for example by email or in-app), stating the effective date. If you are a consumer and a change materially disadvantages you, you may cancel before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree to a change, you must stop using the Service.
18. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the law of Scotland.
You and TradeIQ Ltd submit to the jurisdiction of the courts of Scotland. If you are a consumer resident elsewhere in the United Kingdom, you may also bring proceedings in the courts of the part of the UK in which you live, and you retain the benefit of any mandatory consumer-protection laws of that place.
19. General and contact
Entire agreement. These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Service and supersede any prior arrangements.
Severability. If any provision (or part of a provision) of these Terms is held to be invalid or unenforceable, the remainder continues in full force and effect.
Assignment. We may transfer our rights and obligations under these Terms to another organisation; you may not transfer yours without our consent.
Waiver. A failure or delay in enforcing any provision is not a waiver of it.
Third parties. No one other than you and us has any right to enforce these Terms.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including failures of exchanges, data or connectivity providers, cyber-attacks, and power or internet outages.
